Energy Subscription Terms and Conditions

  1. Definitions:
    1. "Agreement" means this Volizer Energy Procurement Subscription Agreement.
    2. "Customer" means the business subscribing to Volizer's services under this Agreement.
    3. "Energy Supply Contract" means the contract between the Customer and Retailer for the supply of electricity and/or gas negotiated by Volizer.
    4. "Retailer" means the third-party energy supplier that the Customer contracts with for the supply of electricity and/or gas.
    5. "Subscription Fee" means the monthly fee in AUD communicated to the customer (excluding GST) payable by the Customer to Volizer.
    6. "Supply Commencement Date" means the date the Customer's electricity and/or gas supply starts under the Energy Supply Contract.
    7. "Term" means the 24-month period starting on the Supply Commencement Date and any renewals thereof.
    8. "Due Date" means the same day of each month that the Subscription Fee is payable, starting from the Supply Commencement Date.
  2. Subscription Services:
    1. Volizer will use its expertise and wholesale energy partnerships to negotiate competitive electricity and/or gas rates for the Customer.
    2. Volizer will notify the Customer via email 30-60 days prior to the end of the Term to inform of the upcoming renewal.
    3. Early termination by the Customer for any reason will require the payment of the remaining Subscription Fees for the full Term.
  3. Energy Supply Contract:
    1. The Customer acknowledges that Volizer is not a party to the Energy Supply Contract, and the Retailer is solely responsible for the supply of energy.
    2. The Customer agrees to sign and comply with the Energy Supply Contract negotiated by Volizer.
    3. The Customer is liable for any early termination fees charged by the Retailer if the Customer ends the Energy Supply Contract before its expiry.
  4. Subscription Fee:
    1. The Subscription Fee is payable by the Customer monthly in advance on the Due Date.  
    2. The Subscription Fee will be automatically charged to the Customer's nominated payment method on the same day each month.
    3. If the Customer terminates this Agreement or the Energy Supply Contract for any reason before the end of the Term, the Customer must pay the Subscription Fees for the remainder of the Term.
  5. Term and Renewal:
    1. This Agreement starts on the date the Customer signs up and continues for the Term unless terminated earlier in accordance with these terms.
    2. At the end of the Term, this Agreement will automatically renew for successive 12-month periods unless either party gives 30 days notice of non-renewal.
  6. Volizer's Partners:
    1. Volizer works with partners including Eutility Pty Ltd to negotiate energy deals for Customers. Volizer may change its partners without notice to Customers, but will notify customers of significant changes.
    2. Volizer's partners have no responsibility for the supply of energy to Customers under the Energy Supply Contract.
  7. Confidentiality and Marketing:
    1. The Customer must keep the rates, Subscription Fee, and other commercial terms of this Agreement strictly confidential.
    2. The Customer agrees Volizer may use the Customer's name, logo, and other branding in its promotional materials and communications during the Term.
  8. GST:
    1. Unless expressly stated otherwise, all amounts payable under this Agreement are exclusive of GST. If GST is payable on any supply made under this Agreement, the Customer must pay the applicable GST in addition to the Subscription Fee.
  9. Governing Law and Dispute Resolution:
    1. This Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of the courts of New South Wales.
    2. In the event of a dispute arising from this Agreement, the parties will attempt to resolve the matter amicably through discussions. If discussions fail, the dispute will be settled by mediation conducted in accordance with the laws of New South Wales.
  10. Notices and General Provisions:
    1. Any notice given under this Agreement must be in writing and sent by email to the address specified by the other party.
    2. The Agreement is not transferable or assignable by the Customer without the prior written consent of Volizer.
  11. Privacy Notice:
    1. Volizer Pty Ltd is committed to protecting the privacy of its customers. We collect customer data, such as business details and previous energy bills, to assess your eligibility and secure the best energy deals.
